1. Acceptance of Terms

Welcome to Neyrova. These Terms & Conditions are a legally binding agreement between you and Fedorov Yurii, registered as a Sole Proprietor (FOP) in Ukraine, Tax ID 2905010772, the owner of the Neyrova service.

You should read these Terms & Conditions together with our Privacy Policy. These documents, together with any applicable payment terms, data processing terms, software license terms, or additional terms provided by Neyrova, form the contractual relationship between you and Neyrova.

Neyrova is available through the website https://neyrova.com and related software, applications, platform tools, integrations, and services. By clicking “I accept,” creating an account, accessing the platform, connecting a social media account, selecting a subscription, downloading, installing, or otherwise using Neyrova, you confirm that you have read, understood, and agree to be bound by these Terms & Conditions.

If you do not agree to these Terms & Conditions, you must not access or use Neyrova. If you use Neyrova on behalf of a business, agency, organization, client, or other legal entity, you confirm that you have the authority to accept these Terms on its behalf.

3. Definitions

For the purposes of these Terms & Conditions, the following definitions apply:

• “Neyrova,” “we,” “us,” or “our” means the Neyrova service owned by Fedorov Yurii, registered as a Sole Proprietor (FOP) in Ukraine.
• “Service” means the Neyrova website, web application, software, tools, integrations, features, documentation, support materials, and related services.
• “User,” “Customer,” “you,” or “your” means any individual, business, agency, organization, or legal entity that accesses, registers for, purchases, or uses Neyrova.
• “Account” means the registered user account created to access and use Neyrova.
• “User Content” means any text, images, videos, files, captions, hashtags, links, posts, messages, comments, brand assets, analytics data, social media data, or other materials uploaded, created, generated, scheduled, published, stored, processed, or managed through Neyrova.
• “Connected Platforms” means third-party social networks, APIs, cloud storage services, design tools, analytics services, payment processors, messaging systems, or other external services connected to Neyrova by the User.
• “Subscription Plan” means a paid plan, package, service tier, add-on, renewal, upgrade, or recurring subscription selected by the User.

4. About Neyrova

Neyrova is a SaaS platform for social media management, content planning, publishing, automation, analytics, AI-assisted content creation, team workflows, and related marketing operations.

Depending on the selected Subscription Plan and technical availability, Neyrova may include features such as social media scheduling, content calendars, publishing queues, bulk publishing, AI-generated content, media management, analytics, integrations, unified inbox tools, automation, Link in Bio tools, link shortening, QR codes, team roles, and collaboration features.

The exact features, supported platforms, usage limits, integrations, and technical capabilities may vary by plan, account type, third-party platform permissions, API access, and product updates.

5. Use of the Service

You agree to use Neyrova only for lawful purposes and only in accordance with these Terms & Conditions, applicable laws, intellectual property rights, privacy requirements, advertising rules, and the terms and policies of any Connected Platforms.

You must not use Neyrova to:

• publish, schedule, distribute, or automate unlawful, harmful, abusive, fraudulent, misleading, defamatory, or infringing content;
• violate the terms, community standards, technical limits, or platform policies of any Connected Platform;
• send spam, unsolicited mass messages, manipulative engagement activity, or deceptive automated communication;
• upload malware, viruses, harmful code, phishing links, scams, or other malicious materials;
• misrepresent your identity, authority, brand ownership, account permissions, or relationship with any third party;
• access, copy, scrape, reverse engineer, modify, overload, disrupt, or interfere with Neyrova or its systems;
• bypass security, authentication, subscription, billing, access control, or usage limitations;
• use Neyrova to build, support, or operate a competing service without written permission;
• allow any third party to use your Account in a way that violates these Terms.

Neyrova may suspend, restrict, or terminate access to the Service if we reasonably believe that a User has violated these Terms, created legal or technical risk, or used the Service in a way that may harm Neyrova, other users, Connected Platforms, or third parties.

6. Eligibility

You must be legally capable of entering into binding agreements under the laws applicable to you. If you use Neyrova on behalf of a business, agency, organization, or client, you confirm that you are authorized to bind that entity to these Terms & Conditions.

You may not use Neyrova if you are prohibited from doing so under applicable laws, sanctions, platform rules, or previous restrictions imposed by Neyrova.

7. Account Registration and Security

To access certain features, you may need to create an Account and provide accurate, complete, and current information. You agree to keep your Account information updated.

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your Account. You must not share access credentials with unauthorized persons.

If you believe that your Account has been compromised, accessed without authorization, or used in a suspicious way, you must notify Neyrova as soon as possible at help@neyrova.com.

8. User Configuration and Misuse

You are solely responsible for configuring your Account, connected profiles, publishing settings, team permissions, automation rules, content approvals, time zones, billing settings, and integrations correctly.

Neyrova is not responsible for losses, failed publications, incorrect posts, missed deadlines, unauthorized actions, data access issues, billing consequences, workflow errors, or other issues caused by incorrect settings, user error, misuse, misconfiguration, or actions taken through your Account.

9. Third-Party APIs and Platform Dependency

Neyrova may rely on official APIs, permissions, authentication systems, developer tools, and technical access provided by third-party platforms, including social networks and other Connected Platforms.

You acknowledge and agree that Connected Platforms are independent third-party services and that Neyrova has no control over their APIs, permissions, moderation decisions, review procedures, availability, pricing, account actions, data accuracy, policy changes, developer rules, or technical performance.

Connected Platforms may change, limit, suspend, remove, restrict, or discontinue their APIs, permissions, publishing rules, content formats, analytics access, authentication methods, account requirements, developer policies, review procedures, or technical documentation at any time.

Any change made by a Connected Platform may affect Neyrova features without prior notice, including publishing, scheduling, analytics, inbox features, automation, account connection, authentication, data access, or integrations.

Neyrova does not own, operate, or control Connected Platforms and is not responsible for changes, restrictions, outages, review decisions, API limitations, account bans, account restrictions, data access changes, failed publications, missing analytics, unavailable integrations, moderation actions, or any other issue caused by third-party platforms.

Neyrova does not guarantee that compatibility with any Connected Platform will continue indefinitely. If a third-party platform changes its API, policies, permissions, review process, or technical requirements, some Neyrova features may become unavailable, limited, delayed, discontinued, or modified.

10. Social Media Publishing and Scheduling Disclaimer

Neyrova may allow you to plan, schedule, queue, publish, repost, and manage content across supported social media platforms.

Publishing and scheduling depend on factors outside Neyrova’s full control, including platform APIs, valid access tokens, account permissions, content format requirements, rate limits, platform outages, policy changes, account restrictions, third-party review systems, internet connectivity, user settings, and technical interruptions.

Neyrova is not responsible for failed, delayed, rejected, duplicated, modified, blocked, or removed posts caused by third-party platform limitations, expired permissions, revoked access, unsupported content formats, incorrect user settings, platform moderation, or actions taken by Connected Platforms.

11. Account Restrictions and Platform Moderation

Neyrova is not responsible for any suspension, restriction, demonetization, shadowban, content removal, account ban, loss of reach, loss of access, loss of followers, reduced visibility, moderation action, warning, penalty, or enforcement action taken by any Connected Platform, even if such action occurs after using Neyrova.

You are solely responsible for complying with the rules, policies, community standards, advertising standards, content requirements, and technical restrictions of each Connected Platform you use with Neyrova.

12. Subscription Plans and Payments

Some Neyrova features require a paid Subscription Plan. The applicable price, billing cycle, included features, usage limits, and available add-ons are shown on the pricing page, checkout page, payment page, or inside your Account.

Unless expressly stated otherwise, subscription fees are billed in advance and may renew automatically according to the selected billing cycle. You are responsible for canceling your subscription before the next renewal date if you do not want to continue using the paid Service.

Neyrova may update pricing, plan limits, included features, or billing terms. If changes affect your active subscription, Neyrova will make reasonable efforts to notify you before the changes apply.

13. Payment Authorization

By purchasing a Subscription Plan, renewal, add-on, upgrade, or any paid service through Neyrova, you authorize Neyrova and its authorized payment processor to charge your selected payment method for all applicable fees, taxes, recurring subscription payments, renewals, upgrades, and other charges related to your use of the Service.

You agree that your payment method may be charged automatically according to the billing cycle selected at checkout or inside your Account, unless you cancel your subscription before the next renewal date.

You are responsible for keeping your billing information accurate and up to date. If your payment method fails, expires, is declined, or cannot be processed, Neyrova may suspend, restrict, downgrade, or terminate access to paid features until the payment issue is resolved.

14. Payment Processing

Payments may be processed by third-party payment providers. By completing a payment, you agree to the terms, privacy policies, and payment rules of the relevant payment provider.

Neyrova does not store full payment card details unless this is expressly stated and technically supported through a compliant payment provider. Payment authorization, failed payments, chargebacks, taxes, billing disputes, refunds, and payment processing may be handled by the payment provider according to its own rules.

Neyrova is not responsible for payment failures, payment delays, payment provider restrictions, bank declines, card issuer decisions, currency conversion fees, transaction fees, chargebacks, blocked payments, payment provider outages, or other issues caused by third-party payment providers.

15. Refund Policy

Neyrova does not offer refunds of any kind for subscriptions, renewals, add-ons, paid services, unused time, unused features, account inactivity, or cancellation during an active billing period.

You agree that Neyrova does not offer refunds for issues caused by third-party platforms, including API changes, platform restrictions, account limitations, revoked permissions, failed publications, unavailable integrations, missing analytics, moderation actions, account bans, or any other changes made by Connected Platforms.

Before purchasing a Subscription Plan, you are responsible for reviewing the selected plan, billing cycle, included features, usage limits, renewal terms, and technical requirements.

Cancellation of a subscription stops future renewals only. It does not provide a refund, credit, or reimbursement for the current billing period.

16. Subscription Cancellation

You may cancel your Subscription Plan through your Account settings where available, through the relevant payment provider interface, or by contacting Neyrova at help@neyrova.com.

To avoid the next recurring charge, you must cancel your subscription before the renewal date. If you cancel after a renewal charge has already been processed, access to the paid Service may continue until the end of the current billing period, but no refund, credit, or reimbursement will be provided.

17. Delinquent Accounts

If a payment is failed, reversed, disputed, overdue, or unpaid, Neyrova may suspend, restrict, downgrade, or terminate access to paid features until the outstanding amount is resolved.

You are responsible for any fees, chargebacks, taxes, collection costs, or payment provider charges associated with unpaid amounts, where permitted by applicable law.

18. User Content

You retain ownership of User Content that you upload, create, generate, schedule, publish, or manage through Neyrova.

By using Neyrova, you grant us a limited, worldwide, non-exclusive, royalty-free license to host, store, process, display, transmit, analyze, format, modify for technical compatibility, and publish User Content only as necessary to provide, maintain, secure, and improve the Service.

You are solely responsible for User Content and for ensuring that you have all required rights, licenses, consents, releases, and permissions to use, upload, publish, or share it.

You represent and warrant that you own or have obtained all necessary rights, licenses, permissions, consents, and releases for all User Content and that your User Content does not violate any law, third-party rights, platform rules, contractual obligations, confidentiality obligations, or privacy requirements.

Neyrova disclaims any and all liability in connection with User Content, including its accuracy, legality, originality, ownership, permissions, publication, distribution, consequences, or use on any Connected Platform.

19. Restrictions on User Content

You agree not to upload, generate, schedule, publish, or distribute User Content that:

• violates any law, regulation, court order, or third-party platform rule;
• infringes copyright, trademark, privacy, publicity, database, contractual, or other rights;
• contains false, misleading, deceptive, defamatory, abusive, hateful, harassing, or harmful materials;
• contains malware, harmful code, phishing links, scams, or fraudulent materials;
• contains personal data that you are not authorized to process or publish;
• violates the policies of any social network, API provider, payment provider, or other Connected Platform;
• may damage the reputation, security, technical stability, or legal position of Neyrova or third parties.

Neyrova may remove, block, reject, restrict, or refuse to process User Content if we reasonably believe it violates these Terms, applicable law, third-party rights, or Connected Platform rules.

20. No Monitoring Obligation

Neyrova has no obligation to monitor, review, verify, approve, edit, or pre-screen User Content. However, Neyrova reserves the right to remove, block, restrict, refuse to publish, or disable access to any User Content at its sole discretion if such content may violate these Terms, applicable law, third-party rights, or Connected Platform rules.

The fact that Neyrova may review or restrict certain User Content does not create any obligation to review other User Content and does not make Neyrova responsible for User Content uploaded, generated, scheduled, published, or distributed by Users.

21. AI-Assisted Content Disclaimer

Neyrova may provide AI-assisted tools for generating, editing, rewriting, improving, translating, adapting, or suggesting social media content, captions, post ideas, hashtags, images, replies, and other marketing materials.

AI-generated or AI-assisted content is provided for informational and creative support only. Neyrova does not verify AI output and does not guarantee that AI-generated content is accurate, lawful, original, non-infringing, complete, suitable, unique, or compliant with any platform rules.

AI-generated output may be inaccurate, incomplete, outdated, repetitive, unsuitable, or inconsistent with your brand, legal obligations, advertising requirements, intellectual property rights, privacy obligations, or platform rules.

You are solely responsible for reviewing, editing, approving, and using AI-generated content. Any decision to publish, rely on, or distribute AI-generated or AI-assisted content is made at your own risk.

Neyrova does not guarantee that AI-generated content will produce specific reach, engagement, sales, leads, conversions, rankings, followers, revenue, or other business results.

22. Connected Services and Third-Party Integrations

Neyrova may integrate with third-party platforms, including social networks, cloud storage services, design tools, AI tools, analytics services, payment processors, messaging systems, and other external providers.

By connecting a third-party service to Neyrova, you authorize Neyrova to access, process, store, and use the data and permissions required to provide the selected functionality.

Connected Services are operated by independent third parties. Neyrova does not control and is not responsible for their availability, security, policies, pricing, features, restrictions, API changes, account decisions, data accuracy, moderation decisions, or technical performance.

You are responsible for reviewing and complying with the terms, policies, privacy notices, developer rules, and community standards of each Connected Service you use with Neyrova.

23. Analytics and Reporting Disclaimer

Neyrova may provide analytics, reports, performance metrics, engagement data, audience insights, period comparisons, and other reporting tools based on data available from Connected Platforms and internal platform activity.

Analytics data may differ from native platform dashboards due to API limitations, reporting delays, privacy restrictions, account settings, sampling, data processing differences, attribution differences, or platform changes.

Neyrova does not guarantee that analytics data will always be real-time, complete, error-free, available for all historical periods, or identical to third-party platform reports.

Analytics and reports are provided for informational purposes only and should not be treated as financial, legal, business, investment, advertising, tax, or professional advice.

You are solely responsible for any business, marketing, advertising, budget, operational, or strategic decisions made based on analytics, reports, metrics, or insights available through Neyrova.

24. No Guarantee of Results

Neyrova does not guarantee any specific marketing, financial, operational, advertising, or social media results. This includes follower growth, reach, impressions, engagement, leads, sales, conversions, revenue, brand awareness, rankings, platform approval, content approval, or account safety.

Your results depend on many factors outside Neyrova’s control, including your content quality, audience, offer, market, platform algorithms, account history, advertising budget, competition, strategy, timing, and actions taken by Connected Platforms.

25. Team Members, Roles, and Client Access

Neyrova may allow you to invite team members, clients, contractors, or collaborators to access your Account, workspace, project, brand, or selected features.

You are responsible for assigning correct roles, permissions, and access levels. You are also responsible for all actions taken by authorized users under your Account, including content publication, approval decisions, account connections, data access, workflow changes, and subscription activity.

Any person you invite to your Account is considered authorized by you. Neyrova is not responsible for actions, omissions, errors, approvals, publications, deletions, account changes, billing actions, or data access performed by your team members, clients, contractors, or collaborators.

26. White Label, Agency, and Client Use

If Neyrova provides white-label, agency, client management, reseller, or related features, these features may be subject to additional terms, technical requirements, usage limits, pricing, setup rules, or written agreements.

Agencies, freelancers, and service providers remain solely responsible for their own client relationships, client deliverables, service promises, approvals, communications, billing, content rights, and compliance obligations.

If you use Neyrova to provide services to clients, you are solely responsible for your client agreements, service promises, approvals, content rights, client communications, reporting, deliverables, billing, legal compliance, and any claims made by your clients.

Neyrova is not a party to any agreement between you and your clients unless expressly agreed in writing.

27. Data Protection and Privacy

Neyrova processes personal data in accordance with its Privacy Policy and applicable data protection laws. The Privacy Policy explains what data may be collected, how it is used, how it is stored, and what rights may be available to Users.

If you process personal data of your customers, followers, employees, clients, leads, or other third parties through Neyrova, you are responsible for having the necessary legal basis, permissions, notices, consents, and agreements required by applicable law.

You must not upload or process personal data through Neyrova in a way that violates applicable privacy laws, platform rules, or third-party rights.

28. Security Disclaimer

Neyrova applies reasonable technical and organizational measures designed to protect the Service and User data against unauthorized access, misuse, alteration, loss, or disclosure.

No online service can guarantee absolute security. You are responsible for using strong passwords, protecting login credentials, managing team access, monitoring connected accounts, and promptly reporting suspected unauthorized access.

Neyrova is not responsible for unauthorized access caused by weak passwords, compromised devices, phishing, credential sharing, third-party breaches, unauthorized users invited by you, or your failure to secure Account access.

29. Intellectual Property Rights

Neyrova, including its software, platform architecture, design, interface, workflows, technology, source code, trademarks, logos, documentation, databases, product names, and brand assets, is owned by Fedorov Yurii or licensed for use within Neyrova and is protected by intellectual property laws.

These Terms do not transfer any ownership rights in Neyrova to you. You receive only a limited, non-exclusive, non-transferable, revocable right to use the Service in accordance with these Terms and your selected Subscription Plan.

You may not copy, modify, distribute, sell, rent, sublicense, reverse engineer, decompile, disassemble, reproduce, frame, scrape, or commercially exploit any part of Neyrova except as expressly permitted by these Terms or a separate written agreement.

30. Feedback and Suggestions

If you provide ideas, recommendations, comments, feature requests, improvements, or other feedback about Neyrova, you grant Neyrova the right to use such feedback without restriction, compensation, or obligation to you.

Neyrova may use feedback to improve the Service, develop features, fix issues, update workflows, improve user experience, or enhance product strategy.

31. Service Availability Disclaimer

Neyrova aims to provide stable and reliable access to the Service. However, the Service may be unavailable, delayed, interrupted, limited, or modified due to maintenance, updates, technical incidents, hosting issues, security events, third-party outages, API changes, force majeure events, or other circumstances.

Neyrova does not guarantee uninterrupted access, permanent availability, error-free operation, continuous compatibility with third-party platforms, or preservation of every feature in its current form.

Neyrova is not liable for any loss, damage, missed publication, lost data, reduced performance, business interruption, account restriction, or other consequences caused by service unavailability, maintenance, technical errors, third-party failures, API changes, or platform restrictions.

32. Backups and Data Retention

Neyrova may maintain backups or retention systems for operational, security, legal, or technical purposes. However, Neyrova does not guarantee that any deleted, lost, expired, overwritten, or removed User Content, settings, analytics, messages, reports, scheduled posts, media files, drafts, or account data can always be restored.

Neyrova does not guarantee that User Content, analytics, messages, reports, settings, drafts, scheduled posts, media files, or account data will be preserved indefinitely or restored after deletion, expiration, suspension, technical failure, third-party platform change, or account termination.

You are responsible for maintaining your own copies of important content, files, reports, credentials, brand materials, and business data.

33. Beta Features and Product Changes

Neyrova may release beta, experimental, preview, or newly developed features. Such features may be incomplete, unstable, changed, limited, suspended, or discontinued at any time.

Neyrova is not liable for any loss, error, interruption, failed workflow, data issue, missed publication, integration problem, or business consequence arising from the use of beta, experimental, preview, or newly developed features.

34. Support Disclaimer

Neyrova may provide customer support, documentation, onboarding materials, tutorials, or guidance. Such support is provided for convenience only and does not constitute legal, financial, advertising, tax, business, or professional advice.

Neyrova does not guarantee that support responses, documentation, or recommendations will resolve every issue, prevent platform restrictions, improve results, restore data, prevent failed publications, or ensure uninterrupted use of the Service.

35. Links to Third-Party Websites

Neyrova may contain links to third-party websites, applications, resources, documentation, or services. These links are provided for convenience only.

Neyrova does not control and is not responsible for third-party websites, their content, terms, privacy policies, security, accuracy, availability, or business practices. You access third-party websites at your own risk.

36. Indemnification

You agree to defend, indemnify, and hold harmless Neyrova, its owner, contractors, partners, suppliers, and agents from and against any claims, damages, losses, liabilities, costs, and expenses arising from or related to:

• your use of the Service;
• your User Content;
• your AI-generated or AI-assisted content;
• your violation of these Terms;
• your violation of applicable laws or third-party rights;
• your breach of any Connected Platform terms or platform rules;
• your client relationships, agency services, or third-party account management;
• your account settings, automation rules, publishing settings, or team permissions;
• unauthorized use of your Account caused by your failure to protect credentials.

37. Disclaimer of Warranties

Neyrova is provided on an “as is” and “as available” basis. To the maximum extent permitted by applicable law, Neyrova disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, compatibility, and security.

Neyrova does not guarantee that the Service will be uninterrupted, error-free, secure, free of harmful code, compatible with every third-party platform, suitable for every business need, or capable of producing specific marketing, financial, operational, or social media results.

Neyrova does not guarantee follower growth, reach, impressions, engagement, sales, leads, conversions, revenue, rankings, platform approval, advertising results, content approval, account safety, or any other business outcome.

38. Limitation of Liability

To the maximum extent permitted by applicable law, Neyrova, its owner, contractors, suppliers, partners, technology providers, hosting providers, payment processors, integration providers, and agents shall not be liable to you or any third party for any lost profits, lost revenue, lost data, loss of goodwill, loss of business opportunities, business interruption, reputational harm, costs of substitute services, or any indirect, consequential, exemplary, incidental, special, punitive, or similar damages arising from or related to these Terms, the Service, your access to the Service, your use of the Service, or your inability to access or use the Service, even if Neyrova has been advised of the possibility of such damages.

You acknowledge and agree that your access to and use of the Service is at your own discretion and risk. You are solely responsible for any damage to your device, computer system, network, accounts, data, content, business operations, or third-party services resulting from your access to or use of Neyrova.

Neyrova is not liable for damages caused by third-party platforms, API changes, account bans, account restrictions, failed publications, rejected posts, removed content, analytics discrepancies, payment provider issues, user errors, incorrect settings, expired tokens, unauthorized account access, unsupported formats, content violations, external service outages, AI-generated content, team member actions, client access, or beta features.

To the maximum extent permitted by applicable law, Neyrova’s total aggregate liability to you for any damages arising from or related to these Terms, the Service, or your use of or inability to use the Service, regardless of the form of action, shall not exceed USD 50. The existence of more than one claim will not increase this limit.

You agree that Neyrova’s suppliers, payment processors, hosting providers, technology providers, integration providers, contractors, partners, and agents shall have no liability of any kind arising from or relating to these Terms, the Service, or your use of or inability to use the Service.

39. Force Majeure

Neyrova is not liable for any delay, failure, interruption, or inability to perform caused by events beyond reasonable control, including war, cyberattacks, internet failures, power outages, hosting failures, government actions, sanctions, natural disasters, strikes, payment provider failures, third-party platform outages, API changes, regulatory actions, or other force majeure events.

40. Term and Termination

These Terms remain in effect while you access or use Neyrova. You may stop using the Service at any time and may cancel your subscription according to the cancellation rules described in these Terms.

Neyrova may suspend, restrict, or terminate your Account or access to the Service at any time if you violate these Terms, fail to pay applicable fees, misuse the Service, create security or legal risk, violate third-party platform rules, or engage in activity that may harm Neyrova, other users, Connected Platforms, or third parties.

Upon termination, your right to access and use the Service will end. Neyrova may delete, retain, restrict, or preserve Account data and User Content as required for operational, legal, billing, security, compliance, or backup purposes.

41. Changes to the Service

Neyrova may modify, update, improve, limit, suspend, discontinue, replace, or remove any part of the Service at any time, including features, integrations, pricing, supported platforms, technical requirements, usage limits, or interface elements.

42. Changes to These Terms

Neyrova may update these Terms & Conditions from time to time. The updated version will be posted on this page with a revised “Last updated” date.

If changes are material, Neyrova may provide notice through the website, platform interface, email, or another reasonable communication method. Your continued use of the Service after the updated Terms become effective means that you accept the revised Terms.

43. Electronic Communications

Communications between you and Neyrova may be made by electronic means, including through the Service, your Account, website notices, platform notifications, email, support messages, billing notices, security alerts, product updates, or other electronic communication channels.

For contractual purposes, you consent to receive communications from Neyrova in electronic form. You agree that all terms and conditions, agreements, notices, disclosures, invoices, billing communications, legal notices, policy updates, and other communications that Neyrova provides to you electronically satisfy any legal requirement that such communications would satisfy if they were provided in hardcopy or written form.

44. Assignment

45. Severability

Neyrova’s failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. Any waiver must be made in writing.

47. Entire Agreement

These Terms & Conditions, together with the Privacy Policy, payment terms, data processing terms, software license terms, and any additional written agreements that apply to your use of Neyrova, constitute the entire agreement between you and Neyrova regarding the Service.

48. Governing Law and Jurisdiction

These Terms & Conditions, and any dispute, claim, or controversy arising from or related to these Terms, the Service, your Account, any Subscription Plan, or your use of Neyrova, shall be governed by and interpreted in accordance with the laws of Ukraine.

The parties shall first attempt to resolve any dispute through good-faith negotiations. If the dispute cannot be resolved amicably, it shall be submitted exclusively to the competent courts of Ukraine.

You agree that the courts of Ukraine shall have exclusive jurisdiction over any dispute, claim, or controversy arising from or related to these Terms, the Service, your Account, any Subscription Plan, or your use of Neyrova.
